<P>PROBLEM TO BE SOLVED: To solve a problem that a conventional latent heat recovery heat exchanger in a tube and header method requires a combustion gas passage and a casing having airtightness for the latent heat recovery heat exchanger, and thus, has a complicated shape requiring a considerable skillful technique and accuracy during manufacturing. <P>SOLUTION: A latent heat heat-exchanger 30 comprises: a top plate 41; a bottom plate 43; a side plate 42 covering peripheries of the top plate 41 and the bottom plate 43; and combustion gas passages 33 penetrating the top plate 41 and the bottom plate 43.
