PROBLEM TO BE SOLVED: To provide a damping valve allowing tuning of damping force characteristics after assembled to a shock absorber, suitable for a shock absorber used for damping vibration of a body of a railroad vehicle and allowing the shock absorber to exhibit optimal damping force characteristics for suppressing the vibration of the body of the railroad vehicle. SOLUTION: The damping valve 1 mounted on the shock absorber D includes: a housing 2 having a valve hole 2a comprising an annular valve seat 4; a valve element 5 movably stored in the valve hole 2a and separated from and seated on the annular valve seat 4; a spring seat 10 fixed into the valve hole 5; and a spring 14 interposed between the valve element 5 and the spring seat 10 to energize the valve element 5 toward the annular valve seat 4. The spring seat 10 includes a spring seat body 11 screwed to the valve hole 2a, and a regulating member 12 held to the spring seat body 11 movably in the axial direction. When the retreat amount of the valve element 5 from the annular valve seat 4 is a predetermined amount, the regulating member 12 collides with the valve element 5 to regulate the further retreat of the valve element 5 from the annular valve seat 4.
