PROBLEM TO BE SOLVED: To provide an optical encoder having a smaller number of components which can furthermore improve assembly accuracy to reduce dimension dispersion between each component or the like, and to provide a scale plate constituting the optical encoder. SOLUTION: The optical encoder 100 includes the scale plate 2 installed on a member 10 for displacement control, a light emitting source 1 for supplying light with which the scale plate 2 is irradiated, and a light receiving element 4 for detecting light with which the scale plate 2 is irradiated. On the scale plate 2, a signal track 3 including a reflecting material for changing the quantity of light entering the light receiving element 4 by reflecting the light is arranged.
