<P>PROBLEM TO BE SOLVED: To provide a reforming unit having a simple structure and good thermal efficiency, and to provide a fuel cell system. <P>SOLUTION: The reforming unit 400 includes a water flow path 845 through which water used for the water vapor is circulated, and an exhaust gas cooler 840. The cooler 840 is formed into a three-fold tube structure in which the CO converter 810, the CO selective oxidation apparatus 830, and an exhaust gas discharge flow path 847 in which a combustion gas of the burner 151 after heat exchange is circulated are provided coaxially and adjacently.
