<P>PROBLEM TO BE SOLVED: To provide a noise suppressing sheet which is excellent in magnetic characteristics necessary for suppressing noise, is excellent in long-term reliability and has sufficient flame retardancy, and a method of manufacturing the same. <P>SOLUTION: The noise suppressing sheet has a noise suppressing function part including a rubber material, a soft magnetic material, a cross-linking agent, a coupling agent, and a flame retardant. The rubber material is chloroprene rubber. The soft magnetic material is a flat soft magnetic metal particls which comprises Fe-Si-Al and has an average particle diameter of 20-160 μm and an average specific surface area of 1.5 m<SP>2</SP>/g or smaller. The cross-linking agent is at least one kind selected from a group of sulfur, a metal oxide and a peroxide.
