PROBLEM TO BE SOLVED: To provide a thermally conductive resin composition that excels in thermal conductivity, heat resistance, and flame retardancy without diminishing insulation, and a thermally conductive sheet using the same. SOLUTION: The thermally conductive resin composition includes (A) 0.9-10 mass% of a copolymer including a conjugated diene monomer unit and a vinyl aromatic monomer unit, (B) 0.1-10 mass% of a polyphenylene ether resin and/or a modified polyphenylene ether resin, (C) 1-20 mass% of a rubber softener, (D) 70-95 mass% of a metal hydroxide, and (E) 0.01-5 mass% of a fluororesin and/or a fluororesin-modified product, wherein a molar ratio of the component (A) to the component (B), (A)/(B), is 90/10 to 50/50.
