PROBLEM TO BE SOLVED: To provide a rubber composition which is particularly excellent in the interaction of a rubber component and carbon black and/or silica, improves the dispersibility of these filling materials, and provides a tire superior in low heat generation property, wear resistance or the like. SOLUTION: The rubber composition contains: (A) 100 pts.mass of a rubber component containing≥10 mass% of a modified conjugated diene-based polymer, obtained by reacting, as a modifying agent, a silane compound having a specific structure and/or a partial condensate thereof to an active terminal of a conjugated diene-based polymer having an organometallic active terminal with nucleophilic reactivity; (B) 20-120 pts.mass in total of silica and/or carbon black; and (C) a compound expressed by general formula (2): Q-A-B (wherein, Q represents a bipolar nitrogen atom-containing part, B represents oxazoline part, thiazoline part, alkoxy silane part or allyltin part, and A represents a linking atom or group for forming a bridge between Q and B).
