<P>PROBLEM TO BE SOLVED: To provide a photoelectric conversion element and an imaging device, which enhance a photoelectric conversion efficiency by relieving an internal stress produced owing to a material constituting an electrode. <P>SOLUTION: The photoelectric conversion element includes: a lower electrode 11; a photoelectric conversion layer 12; and an upper electrode 15 including a transparent electrode material, laminated on a substrate S in this order.
