PROBLEM TO BE SOLVED: To provide a film laminating adhesive composition which is excellent in transparency without cloudiness and shows only a small reduction in adhesive strength even if it is left standing in a high temperature and high humidity environment for a long time. SOLUTION: The film laminating adhesive composition includes a modified rubber (A) obtained by reacting a liquid rubber (a) containing two or more hydroxy groups and a double bond in a molecule with a polyisocyanate (b) in the presence of a polymerization initiator (c), a tackifier (B) having a softening point of 100°C or higher, and a crosslinking agent (C). The composition preferably includes 100 pts.mass of the modified rubber (A), 10-150 pts.mass of the tackifier (B), and 2-20 pts.mass of the crosslinking agent (c), the modified rubber (A) being obtained by reacting a liquid rubber (a) containing two or more hydroxy groups and a double bond in a molecule with a polyisocyanate (b) in the presence of a polymerization initiator (c), wherein the ratio of an isocyanate group to a hydroxy group (NCO/OH) is between 0.1 and 0.9.
