<P>PROBLEM TO BE SOLVED: To provide an imaging module capable of keeping the outline of a conventional imaging module, even if an element cover is mounted on a board side, and to provide a method of assembling the same. <P>SOLUTION: A lens holder 10 includes an object-side opening 10A and an imaging-side opening 100A, and keeps an imaging lens 100 in a state protruding from the imaging-side opening 100A. A recessed part 111 for housing a protruding part where the imaging lens 100 protrudes from the imaging-side opening 100A is formed on an element cover 11, and an imaging element 112 is fixed to the bottom part of the recessed part.
