<P>PROBLEM TO BE SOLVED: To provide a receiving circuit capable of maintaining a linearity and reducing power consumption for the signal having a large ratio between an average value and a maximum value of amplitude by using a high linearity of a passive mixer, and to provide a receiving device using it. Ž<P>SOLUTION: The receiving device 1 having a receiving circuit 2 for conducting a frequency conversion for the received signal S1 is used. The receiving circuit 2 includes: a passive mixer 13 for converting the frequency of the received signal S1; a local oscillator 14 for generating a local oscillation signal S2 to input the local oscillation signal S2 to the mixer 13; and a level controller 20 by detecting the level of the received signal S1 before input to the mixer 13 to control the level of the local oscillation signal S2 in response to the detected level.
