PURPOSE: A motor controller and an air-conditioner including the same are provided to safely drive an entire system by mounting a first control module and a second control module in one circuit board and by grounding the first control module and the second control module to a frame with a cheap attenuating unit. CONSTITUTION: A motor controller comprises: a first control module(200) which is mounted on one circuit board and includes a converter(210) which changes an inputted AC voltage into a DC voltage, a smoothing unit(230) which smoothes the DC voltage, and an inverter unit(250) which changes the DC voltage outputted from the smoothing unit into a motor driving voltage by being driven according to an inverter control signal; a second control module(300) which is mounted on the circuit board and comprises a control unit(310) which outputs the inverter control signal driving the inverter unit; and an attenuating unit(400) which is connected to the circuit board and attenuates switching noise generated in the circuit board according to the drive of the inverter unit.
