<P>PROBLEM TO BE SOLVED: To provide an EGR cooler resolving a problem of corrosion caused by acid substance contained in EGR gas without increase in cost. Ž<P>SOLUTION: The EGR cooler 135 cools down the EGR gas to a desired temperature by heat exchange with a cooling medium, when part of exhaust gas of the internal combustion engine is recirculated as EGR gas. In the EGR cooler 135, neutralizer layer M neutralizing the acid substance is formed to an inner wall face of an EGR gas passage at least in a portion where the heat is exchanged between the EGR gas with the cooling media, on at least passage inner wall face on outlet side of the EGR gas.
