<P>PROBLEM TO BE SOLVED: To provide a zoom lens that secures a variable power ratio and an angle of view or is advantageous in size reduction, and to provide an imaging apparatus having the zoom lens. Ž<P>SOLUTION: The zoom lens includes: a plurality of lens groups including, in order from the object side to the image side, a first lens group of negative refractive power, which is composed of two lenses, a biconcave negative lens and a positive lens; and a second lens group of positive refractive power, which are composed of four lenses including a positive lens and a negative lens. In varying magnification from a wide angle end to a tele-photo end, the distances between the lens groups change and the second lens group moves to the object side. The zoom lens has a brightness diaphragm that moves integrally with the second lens group in varying the magnification. The zoom lens satisfies predetermined conditional formula.
