<P>PROBLEM TO BE SOLVED: To provide a heat-dissipating sheet for countermeasure against disturbance by electro-magnetic wave free from damaging conductivity at electric contacts by generating siloxane, and further having appropriate adhesive force. Ž<P>SOLUTION: There is provided the heat-dissipating sheet 3 for the counter-measure against disturbance by the electromagnetic wave, a magnetic-alloy powder with a shape other than that having a thickness of 2 μm or less and an aspect ratio of 10 or more, and a thermally conductive spherical powder, are included in a rubber and/or a thermoplastic elastomer. Further, the sheet includes a 45 to 70 durometer-type E hardness. Further, there is provided the heat-dissipating sheet 3 for the counter-measure against disturbance by the electromagnetic wave, a magnetic-alloy powder with a shape other than that having a thickness of 2 μm or less and an aspect ratio of 10 or more, and a thermally conductive spherical powder, are included in a rubber and/or a thermoplastic elastomer.
