<P>PROBLEM TO BE SOLVED: To provide a damping valve capable of improving responsiveness of damping force adjustment. Ž<P>SOLUTION: This damping valve V1 is provided with a fixed member 1 disposed in the half way of a passage through which fluid passes in expansion and contraction of a shock absorber, a movable member 2 relatively movable with respect to the fixed member 1 and restricting the passage in cooperation with the fixed member 1, and a driving means 3 for imparting thrust to the movable member 2, and can adjust a passage area or a valve opening pressure. The damping valve V1 is characterized in that the driving means 3 is provided with a magnetostrictive element 4 connected to the movable member 2, and a coil 5 for imparting a magnetic field to the magnetostrictive element 4.
