<P>PROBLEM TO BE SOLVED: To provide an attitude control device of a forklift capable of preventing falling of a vehicle body to the rear when a mast is inclined/extended to the rear on an inclined surface etc. and to provide a forklift equipped with the device. Ž<P>SOLUTION: The attitude control device of the forklift includes: the mast 10; a tilt cylinder 12 to tilt the mast; a controller 30 to control the tilt cylinder in accordance with an operation signal from a tilt lever 5a; a center of gravity position detection means to detect a center of gravity of the vehicle body including a handling article; and a vehicle body inclination sensor 20 to detect inclinations in the longitudinal and cross directions of the vehicle body. The controller 30 is constituted so as to find a triangle provided by projecting two points where two front wheels of the vehicle body respectively ground and one point which is a fulcrum of two rear wheels on and within a horizontal surface by operation, to set the inside of the triangle in a stable region and to regulate rear inclining/extending motion of the mast when it is determined that a center of gravity projected point where the center of gravity position detected by the center of gravity position detection means deviates from the stable region.
