PROBLEM TO BE SOLVED: To provide a surge absorber that prevents the occurrence of erroneous adsorption and achieves low-cost manufacture, and to provide a method of manufacturing the same. SOLUTION: An insulating substrate 12 is in the form of a rectangular plate made of alumina or the like. A discharge electrode 14a is disposed on the insulating substrate 12. A discharge electrode 14b is disposed on the insulating substrate 12 opposed to the discharge electrode 14a with a discharging gap G interposed between them. A protection layer 16 is an insulating layer mixedly containing conductive material powder and is disposed to cover the gap G. An insulating sheet 18 is disposed on the insulating substrate 12 so as to cover the discharge electrodes 14a, 14b and the protection layer 16. The flatness of a main surface Sb of the insulating sheet 18 not opposed to the insulating substrate 12 is higher than that of a main surface Sb of the insulating sheet 18 opposed to the insulating substrate 12.
