<P>PROBLEM TO BE SOLVED: To provide a vibration-damping composite sheet which can effectively damp the propagation of vibrations and sounds and hardly causes a "permanent set in fatigue" phenomenon while securing a sufficient buffering effect, a vibration-damping complex, and a floor material using the same. Ž<P>SOLUTION: The vibration-damping composite sheet comprises a vibration-damping sheet 12 on which a large number of cylindrical protrusions 13 are provided at regular intervals, and a buffering sheet 14 which has an opening composed of a cylindrical through-hole corresponding to an outer shape of the protrusion 13 of the vibration-damping sheet 12. The buffering sheet 14 and the vibration-damping sheet 12 are superposed in such a manner that the protrusion 13 of the vibration-damping sheet 12 is fitted into the opening of the buffering sheet 14 and the protrusion 13 is pushed and deformed.
