<P>PROBLEM TO BE SOLVED: To provide a semiconductor integrated circuit capable of performing high-accuracy oscillation operation even if the structure is miniaturized, and to provide an oscillation circuit. Ž<P>SOLUTION: The semiconductor integrated circuit 21 includes a terminal XCIN and a terminal XCOUT for connecting a crystal oscillator 31. A surge protection circuit 11 is connected to the terminal XCIN through a node N1; and a surge protection circuit 12 is connected to the terminal XCOUT through a node N2. As an inverting circuit 4 consisting of an inverter, an input part is connected to a node N3 of the terminal XCIN side, and an output part is connected to the node N2 of the terminal XCOUT side. An input coupling capacitor 1 is inserted between the node N1 directly-connected to the terminal XCIN and the node N3 using as the input part of the inverting circuit 4.
