<P>PROBLEM TO BE SOLVED: To provide a rubber composition comprising a filler-rubber master batch which is excellent in interaction between a rubber component and carbon black and/or silica, can improve the dispersibility of these fillers, and is excellent in low heat buildup and wear resistance, and a modified conjugated diene-based polymer, and to provide a tire having such properties, which is obtained using the composition. Ž<P>SOLUTION: The rubber composition is prepared by dry-mixing (A) the filler-rubber master batch obtained by mixing and solidifying a filler dispersion and a natural rubber or synthetic rubber latex, and dehydrating and drying the resultant solid, and (B) the modified conjugated diene-based polymer obtained by modifying a conjugated diene-based polymer having an active terminal by reacting the active terminal with a compound in which a primary amino group is protected within a molecule and which contains a bifunctional silicon atom to which one hydrocarbyloxy group and one reactive group bond, and then conducting a condensation reaction in which the bifunctional silicon compound takes part in the presence of a titanium-based condensation accelerator comprising a titanium compound, or a rubber composition containing the modified conjugated diene-based polymer.
