<P>PROBLEM TO BE SOLVED: To provide an acoustical panel with excellent sound absorbency by infilling a sound absorbing material into a recess formed of a base plate and a frame material, uniformly stretching a breathable sheet thereon, and fixing it to the frame material. Ž<P>SOLUTION: In this acoustical panel A, a frame material 2 is fixed to the periphery of the base plate 1; the sound absorbing material 3 is infilled into the recess which is formed of the base plate 1 and the frame material 2; and a peripheral edge 41 of the breathable sheet 4 for covering and closing a surface of the sound absorbing material 3 is fixed to the frame material 2. A recessed groove portion 5 is formed in the outer peripheral portion of the frame material 2; a stopper member 6 with an approximately U-shaped intrusive protrusion 6a is flexibly attached to the peripheral edge 41 of the breathable sheet 4; and the intrusive protrusion 6a of the stopper member 6 is fitted into the recessed groove portion 5, so that the peripheral edge 41 of the breathable sheet 4 can be fixed to the frame material 2.
