<P>PROBLEM TO BE SOLVED: To provide a data transfer system capable of solving a disorder at bus arbitration such as round robin system by a simple configuration, and a target device used therefor. Ž<P>SOLUTION: A target device 3 comprises a retry counter 17 which counts a predetermined number of times for a retry response. When data transfer is sequentially executed with each of a plurality of initiators A and B, the device outputs a control signal for the retry response for making the retry response according to the control signal since a busy state is released after the completion of data transfer until the retry counter 17 counts a predetermined number of times of the retry response.
