PROBLEM TO BE SOLVED: To provide a heat exchanger capable of effectively preventing circulation impediment caused by accumulation of scale without forming the whole outer tubes or only the downstream side one by large-diameter tubes, and to provide a hot-water supply device using this. SOLUTION: A larger circulation cross-sectional area can be secured between a first outer tube 53 and respective first inner tubes 51 than that between a second outer tube 54 and respective second inner tubes 52 by making the number of the first inner tubes 51 on the downstream side of water for supplying hot water smaller than the number of the second inner tubes 52 on the upstream side, which can effectively prevent circulation impediment in the downstream side outer tube 53 caused by accumulation of scale without forming the whole outer tubes 53, 54 or only the outer tube 53 on the downstream side by a large-diameter tube. In this case, as the number of the second inner tubes 52 on the upstream side of the water for supplying hot water is larger than the number of the first inner tubes 51 on the downstream side, the water for supplying hot water can be sufficiently heated by the respective second inner tubes 52.
