<P>PROBLEM TO BE SOLVED: To provide an attaching structure of a grommet which ensures a sufficient sealing property. Ž<P>SOLUTION: The attaching structure of the grommet includes a holder 10 inserted into an attaching hole 91 formed in a panel 90 and attached to the panel 90 and the grommet 40 held by the holder 10 to come into close contact with the panel 90. The holder 10 includes a first wall 14 extending in the inserting direction to the attaching hole 91 and a second wall 15 connected substantially at right angle to the first wall 14 and protruded outward and covered with the grommet 40. The first wall 14 includes an engaging surface along the inserting direction to the attaching hole 91. The grommet 40 includes a projection 53, 53A protruding to the first wall 14 side and having a surface which comes into close contact with the engaging surface along the inserting direction.
