PROBLEM TO BE SOLVED: To improve security against fraudulent rewriting to software. SOLUTION: A software-updating system includes: an external memory 11, which is constituted so that it may detachably be mounted on a portable terminal 10 and stores in it program codes Pc1 which constitute the software of the portable terminal 10; an information-processing device 20 having a software-loading executing function part Pg1 which executes software-loading processing which reads the program codes Pc1 into the portable terminal 10 from the external memory 11; and the portable terminal 10 having a software-loading executing function reading-in function part Sd1, which executes reading processing which reads the software-loading executing function part Pg1 into its own equipment, and a program code storage part Pg2 as a prescribed area.
