<P>PROBLEM TO BE SOLVED: To provide a novel phase difference film useful for optical compensation of an IPS mode liquid crystal display device, and to provide a polarizing plate. <P>SOLUTION: The phase difference film has a transparent polymer film (an S-layer), a layer (an A layer) containing polyvinyl alcohol as a main component and having Rth (550) of 20-400 nm, and an optical anisotropic layer (a B-layer) having Rth (550) of -300 to -50 nm, in this order from the bottom.
