<P>PROBLEM TO BE SOLVED: To provide an electro-optical device wherein members holding an electro-optical panel can be firmly engaged with each other, and an electronic apparatus. Ž<P>SOLUTION: When an upper cover member 50 is put on a holding member 30 and they are engaged with each other in an electro-optical device 100, side walls 31 and 51 face each other in a direction orthogonal to an engaging direction D, and an engagement projection 55 formed on the side wall 51 is fitted to an engagement recess 35 formed in the side wall 31. In this state, the engagement projection 55 has a first engagement plate part 551 obliquely projecting in a direction opposite to the engaging direction D to the holding member 30 and a second engagement plate part 552 extending from a front end part of the first engagement plate part 551 in the direction opposite to the engaging direction D, and the second engagement plate part 552 is elastically brought into face contact with a recess bottom 351 of the engagement recess 35.
