PROBLEM TO BE SOLVED: To provide a heat exchanger which can prevent erosion or a contact failure or the like caused by dew condensation water, and has high reliability for a long time, and superior heat dissipation efficiency without degrading heat connection performance. SOLUTION: The heat exchanger is provided with: a heat dissipation member 2 comprised of a metal plate 3 and a plurality of heat radiating fins 4 that are thermally connected with one surface of the metal plate; a heat pump of which one surface is thermally connected with the other surface of the metal plate 3 of the heat radiating member; the other metal plate 9 which is thermally connected with the other surface of the heat pump; and an empty sheet-like water-proofing/moisture-proofing member 6 having inside and outside edges. The inside edge of the water-proofing/moisture-proofing member is joined with the outside edge of the metal plate, and the outside edge of the water-proofing/moisture-proofing member is joined with the other metal plate, thus blocking the heat pump from outside air.
