PROBLEM TO BE SOLVED: To provide a prepreg and a fiber-reinforced composite material enhancing impact resistance while maintaining workability (tackiness) of the prepreg in a good state. SOLUTION: In a prepreg 1 in which a reinforcement substrate 2 consisting of reinforcement fibers 2a is embedded in a thermosetting matrix resin, hollow resin fine particles 4 are dispersed in the thermosetting matrix resin on the side of at least one of the prepreg surfaces from the reinforcement substrate 2. The fiber-reinforced composite material is produced by laminating and curing a plurality of the prepregs 1. The amount of the hollow resin fine particles 4 to be added is preferably 3 wt.% or less to the total sum of the weights of the thermosetting matrix resin and the hollow resin fine particles 4.
