A heat transfer apparatus with a heat exchange unit is provided to create convenient and comfortable drive environment without operation noise and to facilitate the installation. A heat transfer apparatus comprises a heat radiation unit(200) heating thermal fluid to gas phase of high pressure and high temperature to be transferred to a heat absorption unit(100), and a heat exchange unit(400) mounted between the heat radiation unit and the heat absorption unit and embedded with a thermal liquid transfer pipe. The heat exchange unit executes heat exchange between the thermal fluid of gas phase of low temperature and low pressure discharged from the heat absorption unit and the thermal fluid of gas phase of high temperature and high pressure discharged from the heat radiation unit.
