A method and an apparatus for sharing a key and performing mutual authentication for a downloadable limit reception system are provided to perform safe secret communication by registering its own public key through a TA(Trusted Authority) and distributing the public key to a counterpart. A downloadable limit reception terminal generates a pair of a public key and a private key by using a specific algorithm(S701). A terminal certificate issue is requested from the highest trusted authority through a security communication channel of an authentication server by using the generated key(S702). The forgery or modulation of the terminal certificate issued from the highest trusted authority through the security communication channel is checked(S705). The terminal authentication request message is transmitted based on the checked terminal certificate(S706). The identical authentication server is confirmed by comparing the authentication server identification information included in the terminal certificate issued from the highest trusted authority with the authentication server identification information by using the terminal authentication response message received from the authentication server(S710).
