PROBLEM TO BE SOLVED: To provide a multilayer capacitor capable of easily and precisely controlling the equivalent series resistance, and to provide a manufacturing method therefor. SOLUTION: The multilayer capacitor includes a laminate 10, having a plurality of dielectric layers and a plurality of first and second internal electrodes laminated alternately, and first and second terminal electrodes formed on the laminate 10. The first terminal electrode 1 is electrically connected to the first and the second internal electrodes 21 and 22. The first terminal electrode 1 includes a resistance layer 4, having larger resistivity than those of the first internal electrodes 21 and 22. The resistance layer 4 covers the ends of lead portions of the first internal electrodes 21 and 22, exposed to a side face 10a. The resistance layer 4 is wider than the lead portions of the first internal electrodes 21 and 22 and narrower than the side face 10a, where the first terminal electrode 1 is formed.
