<P>PROBLEM TO BE SOLVED: To provide a keyless entry system which takes measures against the leakage and forgery of a keyless entry code while bringing the transfer of the keyless entry code into view. <P>SOLUTION: This keyless entry system copes with the leakage etc. of the entry code by updating the entry code on the side of a cellular phone and a reference entry code on the side of a vehicle by intercommunication with the cellular phone in the keyless entry by the cellular phone. The keyless entry system performs updating in a periodic manner or according to, for example, the counting of an elapsed time and the number of times of entries. The keyless entry system gives advance or late notice of the updating of a reference code, so as to cope with the case where another person receiving the transmission of the entry code drives the vehicle. The keyless entry system performs the updating of the entry code when the cellular phone is placed on a cradle to be also used for battery charge in the vehicle. The keyless entry system separately manages the updating of the reference code for a vehicle owner and that of the reference code for being transferred to another person.
