PROBLEM TO BE SOLVED: To provide a two-member fastening structure using a clip instead of a tool for easily fastening two members to each other in a short time while reducing the jump-up of the clip after fastening. SOLUTION: In the two-member fastening structure, a shaft portion 14 of the clip 10 is inserted through a through-hole 22 opened in a mounting member (a plate part 20) and the shaft portion is joined to a fastening seat 32 of another member (a fixing bracket 30) to fasten the mounting member to another member. The clip 10 consists of joining teeth provided on the shaft portion 14, and an operation piece 18 protruded from the surface side of a base portion 12 in the outward direction. The shaft portion 14 is inserted into the fastening seat 32 and the clip is rotated around the axis with the operation piece, whereby the joint teeth are bitten into the peripheral face of the fastening seat to join the shaft portion 14 to the fastening seat 32.
