PROBLEM TO BE SOLVED: To provide a damping force adjusting hydraulic shock absorber having a simple construction for adjusting the elongation side damping force and the compression side damping force. SOLUTION: The damping force adjusting hydraulic shock absorber is equipped with a check valve 60 which is installed on the side of being open to either of the rod side chamber 12A of a bypass passage 57 and piston side chamber 12B of a bypass passage 57 and admits flowing of oil from one of the chambers 12A/12B to the bypass passage 57, and a variable throttle valve 70 which is installed on the side of opening to the other chamber 12B/12A, whereby the elongation side damping force and the compression side damping force are made adjustable by controlling the pressures in the elongation side back pressure chamber 51 and the compression side back pressure chamber 52 through adjustment of the degree of throttling of the variable throttle valve 70.
