PURPOSE:To reproduce in an asynchronous state the synchronizing signal of a video signal and a digital audio data which is recorded in an asynchronous state, by providing a means for setting a frequency division ratio of a frequency dividing circuit to a value corresponding to a discriminating data at every prescribed period, and setting a frequency of a sample clock of a reproducing side to the same relation as the time of recording. CONSTITUTION:A digital audio data which is recorded in a magnetic tape 16 is reproduced, and an output of a decoder 24 is supplied to a D/A converter 27 and a modulating circuit 25. The number of data of an output data of the decoder 24 is determined by a control data for showing the number of data which have been recorded in a block. By a clock generator 11, a clock which is asynchronous and also has the same sampling frequency as the time of recording is formed from a data number signal and a video signal. This asymchronous clock is supplied to the decoder 24, the D/A converter 27 and the modulating circuit 25, and a series data of a digital audio signal is outputted to an output terminal 26.
