PROBLEM TO BE SOLVED: To provide a modified diene-α-olefin copolymer with improved adhesiveness and compatibility and to provide a method for producing the same. SOLUTION: The modified diene-α-olefin copolymer is a copolymer which comprises structural units represented by formulae (1) to (4): -(-CHR<SP>1</SP>-CH=CH-CH<SB>2</SB>-)- (1), -(-CH<SB>2</SB>-CR<SP>2</SP>R<SP>3</SP>-)- (2), -(-CH<SB>2</SB>-CH(CH=CHR<SP>1</SP>)-)- (3), and -(-CH<SB>2</SB>CR<SP>4</SP>R<SP>5</SP>-)- (4) and at least either of the terminals of which is a terminal group represented by formula (5): H<SB>2</SB>C=C(R<SP>6</SP>)-COO-(CH<SB>2</SB>)<SB>j</SB>-NHCOO-. In the formulae, R<SP>1</SP>, R<SP>3</SP>, R<SP>5</SP>, and R<SP>6</SP>are each independently a hydrogen atom or a 1 to 10C alkyl group; R<SP>2</SP>is a phenyl group, a chlorine atom, a cyclohexyl group, or a carbonyloxyalkyl group; R<SP>4</SP>is a nitrogenous substituent; and j is the number of repetition.
