PROBLEM TO BE SOLVED: To provide a multilayer capacitor in which a connection failure hardly occurs in mounting, and to provide a manufacturing method and a mounting structure thereof. SOLUTION: In the multilayer capacitor 10, a first conductor layer 3 has first external terminals 3a-3c led out so that their lengths in both side surfaces 1b, 1d from the end surface 1a of a laminate 1 are different from one another, a second conductor layer 4 has second external terminals 4a-4c led out so that their lengths in both side surfaces 1b, 1d from the end surface 1c of the laminate 1 are different from one another, and an average of lengths of the first external terminals 3b, 3c in the side surfaces 1b, 1d of the laminate 1 is different from an average of lengths of the second external terminals 4b, 4c. When the side surface in which the difference between the average of the lengths of the first external terminals and the average of the lengths of the second external terminals is used as a mounting substrate side, forces for attracting a joining member between the first and second external terminals become small, the joining member is hardly torn and the connection failure hardly occurs.
