PROBLEM TO BE SOLVED: To provide an adhesive composition containing no halogen atom or phosphorus atom and excellent in flame retardance, adhesiveness, heat resistance and migration resistance and a cover-lay film using the composition. SOLUTION: A flame-retardant adhesive composition comprises (A) 100 pts.mass non-halogen-based epoxy resin in which when carbon number of an aliphatic group in the epoxy resin is defined as (a) and carbon number of an aromatic group is defined as (b), b/a≥2.0, (B) 15-70 pts.mass synthetic rubber having a reactive functional group, (C) 1-20 pts.mass curing agent and (D) 10-170 pts.mass inorganic filler and does not contain a halogen atom and a phosphorus atom.
