PROBLEM TO BE SOLVED: To provide an optoelectronic circuit board that excels in reliability of optical communication by receiving no light propagated in the clad of an optical waveguide and preventing noise from mixing in. SOLUTION: An optical waveguide 10C comprises a core layer 100 and a clad layer 101 that is formed on the periphery of the core layer 100. The core layer 100 is formed with a mirror 10D as an optical path changing face which is inclined at 45°and disposed at a position corresponding to the openings 10a, 10b of a first board 10A. The mirror 10D is disposed on the optical path between a light emitting element 125, the core layer 100 and a light receiving element 129. In the periphery of the mirror 10D, there is filled a light transmissive resin 10E having a refractive index comparable to the clad layer 101, so that the surface of the mirror 10D is covered with the light transmissive resin 10E.
