PROBLEM TO BE SOLVED: To adjust damping force in a high piston speed zone in a damping force generating device. SOLUTION: The damping force generating device provided with a compression side channel 31 and a rebound side channel 41 on a piston 20 slidably contacting an inner circumference of an inner tube 12. The compression side channel 31 is opened and closed by a compression side disk valve 32 and the rebound side channel 41 is opened and closed by a rebound side disk valve 42. The device includes a compression side opening adjusting valve 60 adjusting opening of the compression channel 31 of the piston 20 by external operation, and a rebound side opening adjusting valve 70 adjusting opening of the rebound channel 41 of the piston 20 by external operation.
