<P>PROBLEM TO BE SOLVED: To provide a light modulating element unit which has a quarter-wave plate effectively protected from dust and has the quarter-wave plate uniformly cooled easily, and obtains a projected image of good contrast, and also to provide an image display device having the same. <P>SOLUTION: The light modulating element unit for use in an image display device which projects image information by a projection lens, includes: a light modulating element for forming image information; a transparent substrate provided on the light incidence side of the light modulating element with an air interval between them; the quarter-wave plate which is placed between the light modulating element and the transparent substrate and is stuck to the transparent substrate; an elastic cover member for covering a space formed between the light modulating element and the transparent substrate; a transparent optical element disposed on the light incidence side of the transparent substrate; a holding member for holding an outer peripheral part of the transparent substrate; and a cooling device provided in a side of the holding member.
