PROBLEM TO BE SOLVED: To provide a light diffusing plate which is excellent in a concealing property and has good display contrast when being combined with two polarizing plates, and to provide a manufacturing method therefor. SOLUTION: The light diffusing plate can be manufactured by: inserting a resin sheet between a metal roll of≤0.3 s surface roughness and a metal belt of≤0.3 s surface roughness, the resin sheet containing a thermoplastic resin (A) and a particle (B) having a mean particle diameter of 1.5 to 20μm wherein the content of the particle (B) is 0.1 to 10 weight%; and taking off the resin sheet in the condition that temperature of the metal roll is lower than glass transition temperature of the thermoplastic resin (A) by 20 to 50°C.
