PROBLEM TO BE SOLVED: To provide a heat exchanger in which a water-cooled heat exchange unit for air-conditioning use is used not only for cooling a cabin but also for heating the cabin. SOLUTION: The heat exchanger comprises a radiator 3 for cooling a cooling water for an engine 2, and a water-cooled condenser 6 for performing the heat exchange with an air-conditioning refrigerant to be discharged from a compressor 5 of a vehicular air-conditioner 4, and the water-cooled condenser 6 is arranged on the downstream side of a merging part 8 at which the cooling water flowing out from the radiator 3 is merged with the cooling water bypassing the radiator 3.
