An air conditioner combining a ventilation unit is provided to prevent the pollution of room air due to the continuous recirculation of the room air and to minimize the difference of temperature between intake atmospheric air and exhaust room air by discharging the room air via a waste heat recovery unit while supplying the atmospheric air. An air conditioner combining a ventilation unit includes a housing(110) mounted with a waste heat recovery unit(200) inside and a barrier plate dividing the inside of the waste heat recovery unit into upper and lower spaces for passing indoor and outdoor air separately. Polluted room air passes through the waste heat recovery unit and is discharged to the outside completely after the waste heat recovery therefrom. Fresh atmospheric air is supplied through the heat exchange with the recovered waste heat and blown to the inside completely after cooling or heating.
