A damping shim and a brake pad having the same are provided to reduce a manufacturing cost by preventing separation of element while processing and to improve yield strength. A damping shim(300) comprises a pair of slit units(310), and a dent unit(320). A part of damping shim is cut and faced each others. A pair of slit units are vertically formed on one circumference around a rotating shaft of a disk which is rotating with a wheel of a vehicle respectively. The dent unit is concaved to external for predetermined height by pressing a part of the damping shim which is located in between of a pair of slit units. The dent unit has a bent unit, and a protrusion unit. The damping unit is bent from the other region of the damping shim with predetermined curvature and extended with inclination. The protrusion unit is protruded from the other region of the damping shim to external. The outer part of the dent unit is fitted to an inner part of a concave unit of a pad plate.
