PROBLEM TO BE SOLVED: To provide a press-forming die capable of forming the shape of the side face edge in the upper face side of a formed body into a sharp edge in press-forming, and to provide a method for manufacturing a positive chip. SOLUTION: A press-forming die 1 comprises a die 2 and a pair of rod-like upper and lower punches 3, 4. The die 2 includes: a formed body part 8, in which the width of an inner cavity 6 is widened toward its upper part to form a positive chip 14; a straight part 9, which is located right above the formed body part 8 and formed with the ratio of t<SB>2</SB>/t<SB>1</SB>=0.03-0.35 (wherein t<SB>2</SB>is the height of the straight part 9 and t<SB>1</SB>is the height of the formed body part 8); and a relief part 10, which is located right above the straight part 9, and whose width is larger than that of the straight part 9, wherein a positive chip 14 having cutting edges 19 is formed on the intersecting ridge line of a cutting face 16 and a flank 18, which has a clearance angleθ.
