PROBLEM TO BE SOLVED: To provide a resin composition capable of forming films by extruding lamination, and exhibiting adhesiveness to both of polar materials such as a metal and glass and nonpolar materials such as polyethylene and polypropylene. SOLUTION: The adhesive resin composition comprises (A) 40-80 wt.% ethylene-unsaturated ester copolymer having 3-40 wt.% unsaturated ester content and 10-100 g/10 min melt flow rate, (B) 10-40 wt.% ethylene-unsaturated ester copolymer graft-modified withα,β-unsaturated carboxylic acid or its derivative and having 2-50 g/10 min melt flow rate and (C) 10-30 wt.% adhesion-imparting resin, and has 20-100 g/10 min melt flow rate.
