PROBLEM TO BE SOLVED: To provide an active type noise reducing apparatus which has a highly accurate noise reducing effect by reducing an error between control frequency of vibration noise to be controlled, and frequencies of a cosine reference signal and a sine reference signal. SOLUTION: A sampling cycle is changed in proportion to a ratio of the control frequency which is calculated by a control frequency calculating means 31, and an integer part without a part below a decimal point of the control frequency. A reference signal is created by reading a data separated from the data which is referred to when preceding processing, by a value of the control frequency, in a sine wave signal of one cycle, which is stored in a storage device 33 beforehand.
